Scope and Definitions
This Agreement establishes the terms and conditions by which PRMadeEasy.com Inc., a Canadian corporation, will provide you with public relations products and services.

"User" means the individual registering for and purchasing PRMadeEasy.com's products and services.
Registration

If User does not agree to these Terms and Conditions of Service, please do not register with PRMadeEasy.com. If User does not agree to changes to the Terms and Conditions of Service as they may occur from time to time, please arrange to terminate your registration with PRMadeEasy.com immediately by (i) notifying PRMadeEasy.com of your unwillingness to accept the changes to the Terms and Conditions of Service by calling 877-566-3308, and (ii) by discontinuing your use of PRMadeEasy.com. Your continued use of PRMadeEasy.com after such changes in the Terms and Conditions of Service will signify User's acceptance of said changes.
By User's registration with PRMadeEasy.com through the online registration process, the User verifies that User has the authority to represent the company or business identified in the registration and the information provided is accurate and correct to the best of the User's knowledge.
PRMadeEasy.com will maintain a record of User's acceptance of these terms and conditions. User will not be asked to review this Agreement every time you sign on, but User should understand that your use of PRMadeEasy.com 's services will, at all times, be subject to and pursuant to this Agreement, as amended from time to time. User hereby acknowledges that User is entering into a contractual relationship solely with PRMadeEasy.com and not with any other organization.
General Provisions
User agrees to use PRMadeEasy.com in a manner consistent with any and all applicable laws and regulations.
User agrees and warrants that all information submitted to PRMadeEasy.com will be original, accurate and correct and will not contain any defamatory, fraudulent, abusive, obscene, profane, sexually oriented, threatening, racially offensive or illegal material.
User further agrees and warrants that all information provided to PRMadeEasy.com will not infringe upon any copyright, trademark, patent or other intellectual property rights of any other person or entity.
User acknowledges that submission or transmission of material or information in violation of any local, state or federal law is prohibited and is a breach of these Terms and Conditions of Service.
User acknowledges that PRMadeEasy.com cannot and does not guarantee that any media outlet will read, use or publish communications materials produced and/or distributed by PRMadeEasy.com.
PRMadeEasy.com may use or disclose certain information regarding User, which use or disclosure shall be limited as set forth in the Privacy Policy. User may restrict PRMadeEasy.com 's use or disclosure of all information regarding User by calling PRMadeEasy.com at 1-877-566-3308.
In addition, information regarding User's credit card which User supplies to PRMadeEasy.com will be used or disclosed only for the purposes for which such information was collected, or as required by law.
Disclaimer Of Warranties And Limitation Of Liability
PRMadeEasy.com provides its services on an as-is basis, without warranty of any kind, express or implied, including, without limitation, any warranty for information, services or products provided through PRMadeEasy.com. PRMadeEasy.com specifically disclaims (i) any express or implied warranty of merchantability or fitness for a particular purpose, where applicable, and (ii) any warranties concerning the availability, accuracy or content of information, products or services. This disclaimer of liability applies to any and all damages (including direct, indirect, incidental, special, consequential or exemplary) or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus or other harmful component, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of products and services, whether for breach of contract, tortious behavior, negligence, or under any other cause of action.
PRMadeEasy.com cannot promise, and will not be deemed to promise that its hardware or software will function uninterrupted or error-free. PRMadeEasy.com fully intends to keep its system functional at all times. However, in the event that, due to circumstances beyond PRMadeEasy.com 's control, PRMadeEasy.com 's services malfunction or become unavailable to all or some Users, PRMadeEasy.com will not be liable for any direct, indirect, special, incidental, consequential or exemplary damages, whether foreseeable or not, which may result from such unavailability or malfunction.
PRMadeEasy.com is not responsible for the content on the Internet or World Wide Web pages that are contained outside PRMadeEasy.com 's site. As a convenience to our Users, PRMadeEasy.com may from time to time provide links to third parties that are beyond our control. PRMadeEasy.com makes no representations as to the quality, suitability, functionality or legality of any sites to which it may provide links, and User hereby waives any claim you may have against PRMadeEasy.com with respect to such sites.
Indemnity
User agrees to defend, indemnify and hold harmless PRMadeEasy.com, and its officers, directors, shareholders, employees, and independent contractors from any and all claims, damages and expenses, including reasonable attorneys' fees and court costs, arising out of User's use of PRMadeEasy.com or User's breach of the Terms and Conditions of Service, including, without limitation, claims of copyright infringement, patent infringement, misappropriation of trade secrets, libel, slander, trade libel, defamation, harassment, invasion of privacy or fraud.
Normal System Maintenance Times
User acknowledges that occasionally PRMadeEasy.com will not be available for use by User. Although PRMadeEasy.com 's policy is to minimize the amount of time it may spend upgrading and maintaining PRMadeEasy.com, PRMadeEasy.com reserves the right to take PRMadeEasy.com down at any time if required.
Other Provisions
The Terms and Conditions of Service will be interpreted, construed and enforced in accordance with the laws of the British Columbia (without regard to provisions of conflicts of laws). User irrevocably consents to the jurisdiction of the courts in British Columbia, and the federal courts situated in British Columbia in connection with any action to enforce the provisions of the Terms and Conditions of Service, to recover damages or other relief for breach or default under the Terms and Conditions of Service, or otherwise arising under or by reason of the Terms and Conditions of Service.
Notices to be provided under the terms of these Terms and Conditions of Service will, except as otherwise expressly provided herein, be delivered by either party hereto by certified mail return receipt requested or PRMadeEasy.com may deliver such notice by e-mail through PRMadeEasy.com. All such notices will be deemed delivered when the notice is placed in the Mail, or in the case of an e-mail by PRMadeEasy.com, upon the User's accessing PRMadeEasy.com.
The failure of either User or PRMadeEasy.com to insist upon or enforce strict performance by the other party of any provision of the Terms and Conditions of Service or to exercise any right under the Terms and Conditions of Service will not be construed as a waiver or relinquishment to any extent of such party's right to assert or rely upon any such provision or right in that or any other instance; rather, the same will be and remain in full force and effect.
User represents to PRMadeEasy.com that the User has the authority to accept these Terms and Conditions of Service.
These Terms and Conditions of Service constitute the entire understanding between the parties as to the subject matter hereof, and supersede all prior agreements and understandings. Any legally unenforceable provision of these Terms and Conditions of Service will, at the election of PRMadeEasy.com, be deleted or modified to correct the defect and, regardless, the remainder of the terms of these Terms and Conditions of Service will remain valid and enforceable.
PRMadeEasy.com reserves the right to change its fees and prices at any time upon notice to User via PRMadeEasy.com 's Web site.
User may not place orders, or attempt to pay for PRMadeEasy.com 's products and services using any expired, false or unauthorized credit card, or false or unauthorized bank or financial institution information.
User must promptly inform PRMadeEasy.com of (i) changes in the expiration date of any credit card they use in connection with PRMadeEasy.com, and (ii) apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of a credit card, bank or financial institution account or customer number.
Until PRMadeEasy.com receives notice of a breach of security, User will remain liable for any unauthorized use of their PRMadeEasy.com account. User is responsible for all charges at the time the service is used.
PRMadeEasy.com reserves the right to suspend access to PRMadeEasy.com for User's account immediately, without notice, upon rejection of any credit card charges.
